Last updated: 14 January 2026 | Governing jurisdiction: United Kingdom

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you" or "User"), and Bright Dividenward ("Bright Dividenward", "we", "us", or "our"), governing your access to and use of our algorithmic market intelligence platform, web interfaces, APIs, and associated analytical services (collectively, the "Platform").

By accessing or interacting with any portion of the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy and Risk Disclosure. If you do not agree with any part of these Terms, you must cease using the Platform immediately.

2. Nature of the Service

Bright Dividenward provides automated market analysis, computational modeling, execution routing interfaces, and algorithmic indicators for digital assets, foreign exchange pairs, and related indices. You explicitly acknowledge and agree that:

  • Bright Dividenward is an information technology and algorithmic execution tool provider, not a registered investment advisor, portfolio manager, custodian, broker-dealer, or financial institution.
  • No analysis, model output, or automated calculation made accessible via the Platform constitutes personalized financial advice, tax planning guidance, or an offer or solicitation to buy or sell any financial asset.
  • You retain sole discretion and full responsibility for all transactions, parameter inputs, risk constraints, and trading capital deployed through third-party brokers or integrated decentralized venues.

3. Eligibility and Account Safeguards

To access or utilize the Platform, you represent and warrant that you are at least 18 years of age (or the legal age of majority in your jurisdiction) and possess full legal capacity to enter into these Terms. You must not reside in, be located in, or be an entity subject to sanctions or statutory prohibitions administered by the United Kingdom, European Union, United States Office of Foreign Assets Control (OFAC), or relevant international registries.

You are exclusively responsible for preserving the confidentiality of any access credentials, API keys, and two-factor authentication devices linked to your account. Any activity conducted through your authenticated session is deemed to have been executed by you.

4. Permitted and Prohibited Conduct

You agree to use the Platform exclusively for lawful and legitimate analytical purposes in strict conformity with applicable statutory frameworks. You agree that you will not:

  • Reverse-engineer, decompile, disassemble, or derive algorithmic trade secret models implemented within the software architecture.
  • Deploy autonomous scrapers, automated spiders, or high-volume extraction requests without our prior express written authorization.
  • Engage in market manipulation techniques, spoofing, wash trading, or unauthorized latency arbitrage through our routing interfaces.
  • Transmit any malicious code, viruses, trojans, or destructive computational payloads intended to disrupt platform resilience.

5. Intellectual Property Rights

All intellectual property, proprietary algorithms, predictive software routines, interface designs, trade dress, trademarks, logos, and mathematical models hosted on or embodied within Bright Dividenward are owned by or licensed to Bright Dividenward. Nothing in these Terms grants you ownership or any intellectual property license beyond the limited, revocable, non-exclusive, non-transferable right to access the user interface in accordance with these Terms.

6. Warranties and Limitation of Liability

The Platform is delivered strictly on an "AS IS" and "AS AVAILABLE" basis without representations or warranties of any kind, whether statutory, express, or implied. Bright Dividenward does not warrant uninterrupted availability, real-time data accuracy, absence of latency, or market profitability.

To the fullest extent permitted under the laws of the United Kingdom and applicable law, Bright Dividenward, its directors, employees, affiliates, and technology partners shall not be held liable for indirect, consequential, punitive, or incidental damages, nor for any loss of profits, capital depreciation, digital asset losses, missed opportunities, or network disruption arising out of or related to your use of the Platform.

7. Termination and Suspension

We reserve the right, at our sole discretion and without prior notice or liability, to suspend, terminate, or restrict your access to the Platform in the event of suspected fraud, breach of these Terms, non-compliance with regulatory requirements, or platform integrity maintenance.

8. Governing Law and Dispute Resolution

These Terms, their interpretation, and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
